Company Secretarial Assistant Full Time

Exciting new opportunity available within the Company Secretarial team at Speedy to support on a broad range of Company Secretarial matters and related projects.


Assisting and supporting:



  • The management of the annual Company Secretarial programme, preparing agendas for, preparing and collating reports and papers for distribution, and reports and attending and taking minutes where necessary of Board and Board Committee meetings.

  • Preparation of the annual report and accounts including drafting relevant sections to include, the Directors’ Report and corporate governance sections.

  • Arranging and managing the AGM, notices, minutes, filings and announcements and engaging with proxy advisors eg ISS, IVIS and PIRC.

  • Assisting with the preparation, authorisation, and issuance of stock exchange announcements.

  • The Company’s GDPR programme.

  • Licence renewals.

  • Maintenance of statutory records and filings, board, and committee minutes.

  • Dealing with shareholder queries and communications.

  • Maintaining all requisite registers and processes for insider lists and communications. Maintenance of departmental filing systems.

  • Liaising with the Company registrars and liaising with the Company’s brokers and financial advisors.

  • In conjunction with the registrars, paying dividends and managing the dividend reinvestment programme.

  • Maintaining and developing appropriate legal policies.

  • Managing the relationship with the performance share plan and SAYE share scheme administrators and the Company’s Employee Benefit Trust trustees and assisting with the annual programmes, annual grants and maturities, and exercises of options in conjunction with Group HR.

  • Supporting your business unit/team to deliver our ESG Strategy – Decade to Deliver.


Insurance:



  • Supporting the maintenance and annual group renewal process of the Group’s insurance portfolio.

  • Day to day liaison with the Group’s insurance brokers.


Ideal candidate will have a strong company secretarial background.


What you’ll need:



  • strong academics.

  • law degree or similar legal qualification is desirable.

  • company secretarial experience for a UK listed PLC, UK Corporate Governance, ICSA qualification is desirable.

  • commercial mindset

  • proficient in Microsoft applications. Proficient in Blueprint is desirable.

  • be able to communicate, work with and constructively challenge people at all levels through the organisation up to main Board.

  • strong attention to detail.

  • act with integrity and discretion.

  • be easy to work with and have a sense of humour.

  • be hands on: get involved with issues, support, and challenge colleagues constructively.

  • exceptional organisational skills.
